Terms of Use
The agreement that governs your use of our website, mobile app, and forms.
These Terms of Use (these "Terms") form a legally binding agreement between you and PrismaCorp Foundation, Inc., a nonprofit corporation recognized as tax-exempt under Section 501(c)(3) of the Internal Revenue Code ("PrismaCorp," "we," "us," or "our"). These Terms govern your access to and use of theprismacorp.org and its subdomains (including PrismaOS, our standard website, and PrismaSpace), our mobile application, and all forms, content, programs, and features we make available through them (collectively, the "Services").
PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND BY OUR PRIVACY POLICY, WHICH IS INCORPORATED INTO THESE TERMS BY REFERENCE. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.
1. Eligibility
You may use the Services only if you can form a binding contract with us and are not barred from doing so under applicable law. The Services are not directed to children under 13.
2. Intellectual Property and Limited License
Except as otherwise noted, the Services and all content on them, including text, graphics, logos, the PrismaCorp and Respawn names and marks, illustrations, and software, are owned by or licensed to PrismaCorp and are protected by United States and international copyright, trademark, and other laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:
- access and use the Services for your personal, non-commercial use; and
- reproduce, print, and distribute our educational materials, including the Respawn overdose response steps, wallet cards, and posters, free of charge and for non-commercial purposes, provided that you do not alter the health and safety content and you keep our name and web address on the materials.
You may not, without our prior written consent: (a) sell, license, or otherwise commercially exploit any part of the Services; (b) modify our health and safety content; (c) use our names, logos, mascot, or program names in any manner that suggests our sponsorship, endorsement, or affiliation; or (d) remove any copyright, trademark, or other proprietary notice. Members of the media may use the logos and descriptions in our press kit for news coverage about PrismaCorp. Certain photographs and other content on the Services are owned by third parties and used with permission; they are not covered by this license.
3. Health and Safety Information; No Medical Advice
The overdose response steps, naloxone instructions, safer-use information, and other health-related content on the Services are provided for general educational and harm reduction purposes and are based on public health guidance. THIS CONTENT IS NOT MEDICAL ADVICE, DOES NOT CREATE A PROVIDER-PATIENT RELATIONSHIP, AND IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL CARE OR EMERGENCY SERVICES. IN AN EMERGENCY, CALL 911. For medical questions, consult a licensed health care provider or pharmacist.
4. Respawn Supply Program
Through our Respawn program, we may provide naloxone and other harm reduction supplies free of charge, subject to the following:
- Supplies are currently available only to individuals located in the State of Ohio.
- We may limit quantities, and we may delay, decline, or cancel any request in our discretion, including when supplies are limited or a request appears to be fraudulent or abusive.
- We do not guarantee the availability of any supply or any delivery time. If you need naloxone urgently, please use one of the other sources listed on our Respawn page.
- Supplies are provided in the manufacturer's packaging. You are responsible for following the manufacturer's instructions and any accompanying directions for use.
5. User Submissions
When you submit information through the Services, including volunteer applications, contact messages, supply requests, mailing list sign-ups, and PrismaSpace comments (each, a "Submission"), you represent that the information you provide is accurate and that you have the right to submit it. Submitting a volunteer application does not guarantee placement in any volunteer role.
You retain ownership of your PrismaSpace comments. By submitting a comment, you grant PrismaCorp a non-exclusive, royalty-free, worldwide license to host, display, and reproduce it on the Services. You agree not to submit any content that is unlawful, harassing, hateful, defamatory, or spam, or that discloses another person's personal information. We review comments before they are published and may decline to publish, or may remove, any comment at any time in our sole discretion.
6. Donations
Donations are processed by a third-party donation platform and are subject to that platform's terms of service and privacy policy. PrismaCorp is a 501(c)(3) public charity, and donations are tax-deductible to the extent permitted by law. Unless you designate your gift for a particular program, donations support our charitable mission generally; we will honor donor designations to the extent practicable and consistent with our exempt purposes. If you believe you made a donation in error, please contact us promptly and we will work with you and the platform to address it.
7. Prohibited Conduct
You agree not to:
- interfere with, disrupt, overload, or attempt to compromise the security or integrity of the Services, or introduce any virus, malware, or other harmful code;
- attempt to gain unauthorized access to any portion of the Services, any account, or any administrative tool;
- submit false, fraudulent, or spam requests or messages through our forms;
- use any robot, scraper, or other automated means to access or copy the Services without our prior written consent, except for public search engines and assistive technologies;
- use the Services to harass, threaten, or harm any person; or
- use the Services for any unlawful purpose or in violation of these Terms.
8. Games and Interactive Features
PrismaOS, its games, and other interactive features of the Services are provided for entertainment only. Any characters, businesses, or products depicted in them are fictional, and nothing in them constitutes an offer, a product, or a factual claim.
9. Third-Party Websites
The Services contain links to websites and services operated by third parties, such as naloxone providers, crisis lines, and our donation platform. We provide these links for your convenience only. We do not control and are not responsible for the content, policies, or practices of any third-party website, and your use of it is at your own risk.
10. Disclaimer of Warranties
THE SERVICES AND ALL CONTENT AND SUPPLIES MADE AVAILABLE THROUGH THEM ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, PRISMACORP DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. SUPPLIES ARE SUBJECT ONLY TO THEIR MANUFACTURERS' WARRANTIES, IF ANY.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL PRISMACORP OR ITS DIRECTORS, OFFICERS, EMPLOYEES, VOLUNTEERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF, OR INABILITY TO USE, THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS LIMITS ANY LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
12. Indemnification
You agree to indemnify, defend, and hold harmless PrismaCorp and its directors, officers, employees, volunteers, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to your misuse of the Services or your violation of these Terms or of any law or the rights of any third party.
13. Governing Law and Venue
These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-laws principles. You agree that any action arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Franklin County, Ohio, and you consent to the personal jurisdiction of those courts.
14. Changes to These Terms
We may revise these Terms from time to time. When we do, we will post the revised Terms on the Services and update the "Last updated" date above. Revised Terms take effect when posted, and your continued use of the Services after that date constitutes your acceptance of them.
15. General Provisions
If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign these Terms without our prior written consent; we may assign them without restriction. These Terms, together with our Privacy Policy, constitute the entire agreement between you and PrismaCorp regarding the Services and supersede any prior agreements on that subject.
